These Terms of Use ("Terms") govern the relationship between Digital New Era Ltd. ("MERCHANT"), and the individuals or entities ("CUSTOMER") using services provided by the MERCHANT. By accessing our website or purchasing our services and products, you agree to these Terms in full. If you do not agree with any part of these Terms, please do not use our services.

I. DEFINITIONS

  2. CUSTOMER: Any individual or legal entity using the MERCHANT’s services.
  3. SERVICE: Any digital or intellectual service the MERCHANT provides, including web development, design, and consultancy.
  4. PERSONAL DATA: Any information that can identify an individual, including but not limited to name, email, address, and payment details.

II. GENERAL INFORMATION

III. CONTRACT FORMATION

  1. Request for Quote: Customers initiate service requests by submitting a form on our website or direct contact. This submission does not constitute a binding agreement.
  2. Acceptance of Terms: By submitting a request or purchasing services, the CUSTOMER acknowledges and agrees to these Terms.
  3. Order Confirmation: Upon agreement on service details and pricing, a formal contract will be established, binding both parties.

IV. PAYMENT TERMS

  1. Pricing: Service prices are specified in the MERCHANT's offer and are subject to applicable taxes. All prices are subject to change without notice but will not affect existing contracts.
  2. No Refunds: All payments made to the MERCHANT are final. The MERCHANT does not offer refunds for any reason.
  3. Payment Schedule: Payments are generally split into installments as outlined in the contract. Failure to pay timely may result in suspension or termination of services.

V. RIGHTS AND OBLIGATIONS

  1. MERCHANT Obligations: The MERCHANT will deliver services in accordance with the specifications agreed upon in the contract. The MERCHANT is not responsible for issues arising from third-party services or products.
  2. CUSTOMER Obligations: The CUSTOMER agrees to provide accurate information and cooperate as needed to facilitate the delivery of services. The CUSTOMER is responsible for ensuring that their use of services complies with applicable laws.

VI. LIMITATION OF LIABILITY

  1. Exclusion of Liability: The MERCHANT is not liable for any indirect, incidental, or consequential damages, including loss of data or profits. The MERCHANT’s total liability is limited to the amount paid by the CUSTOMER for the specific service giving rise to the claim.
  2. Force Majeure: The MERCHANT is not liable for delays or failures in performance due to events beyond its reasonable control.

VII. TERMINATION

  1. Termination by Either Party: Either party may terminate the contract with written notice if the other party breaches the terms or becomes insolvent.
  2. Automatic Termination: The contract may automatically terminate under specific conditions such as changes in laws or regulations.
  3. Effect of Termination: Upon termination, the CUSTOMER will immediately pay all outstanding amounts owed to the MERCHANT.

VIII. CHANGES TO TERMS

  1. Amendments: The MERCHANT reserves the right to amend these Terms at any time. Customers will be notified of significant changes via email. Continued use of services after such changes constitutes acceptance.
  2. Right to Terminate: If a CUSTOMER does not agree to the amended Terms, they may terminate the contract without penalty, provided they notify the MERCHANT within 30 days of the change.

IX. MISCELLANEOUS

  1. Governing Law: These Terms are governed by the laws of the Republic of Bulgaria.
  2. Entire Agreement: These Terms, along with any other legal notices or agreements, constitute the entire agreement between the CUSTOMER and the MERCHANT.
